These Terms of Service (“Terms”) govern access to and use of OrderRails (the "Service"), operated by TVWS (the “Operator”, “we”, “us”, or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Service. The Service is intended for users who have the legal capacity to enter into binding contracts under the laws applicable to them. You are responsible for ensuring that your use of the Service is lawful in your jurisdiction.
Description of the Service
OrderRails is a software-as-a-service (SaaS) platform that provides execution routing tooling allowing users to relay user-defined webhook signals (for example, from TradingView) to third-party cryptocurrency exchanges and similar services.
The Service functions solely as an execution and integration layer:
- All trading activity occurs directly on third-party platforms chosen and controlled by you
- Orders, positions, and balances are held and maintained by those third parties, not by us
- We do not originate trading signals or strategies for you
We may update, modify, or discontinue features of the Service at any time, provided that such changes do not retroactively limit rights you have already acquired under mandatory law.
No Custody, No Brokerage, No Financial Advice
The Service is non-custodial and does not provide investment services.
- We do not hold, custody, store, or control user funds or assets
- We do not operate an exchange, broker, dealing desk, or trading venue
- We do not provide investment, legal, tax, or financial advice
- We do not manage portfolios or execute trades on a discretionary basis
- We do not guarantee profits, performance, or outcomes of any strategy
All trading decisions, strategies, parameters, and risk settings are solely determined by you. Nothing in the Service (including any examples, documentation, or support communications) should be interpreted as a recommendation to buy, sell, or hold any asset.
User Responsibilities
You are solely responsible for:
- Selecting, configuring, testing, and monitoring your trading strategies
- Connecting and maintaining your own third-party exchange or broker accounts
- Providing valid, accurate, and up-to-date webhook data and configuration parameters
- Monitoring your accounts, positions, orders, and the behaviour of your strategies
- Ensuring that your use of the Service complies with all applicable laws, rules, and exchange or broker terms
You acknowledge that systematic execution can result in significant losses and that you may lose part or all of the funds in your connected accounts.
Acceptable Use
You must use the Service only for lawful purposes and in a manner consistent with these Terms and applicable law. You must not use the Service to engage in market manipulation, fraud, money laundering, sanctions evasion, abusive trading practices, or to violate any applicable exchange, broker, or platform rules.
API Keys and Permissions
To use the Service, you may provide API credentials for third-party exchanges or similar platforms. You agree that:
- API keys must be restricted to trading permissions only, where the platform allows
- Withdrawal permissions must not be enabled for any keys used with the Service
- You may revoke or rotate API keys at any time directly with the relevant third party
- You are responsible for keeping your API credentials, account passwords, devices, and authentication factors secure
Third-Party Services
The Service integrates with third-party platforms (including but not limited to exchanges, data providers, infrastructure providers, and wallet or payment services). We do not control, endorse, or assume responsibility for any third-party services. Your use of such services is governed solely by their own terms and conditions, privacy policies, and rules.
Fees and Payments
Access to the Service may require payment of subscription or usage-based fees. Unless otherwise stated:
- Fees are charged for access to software and infrastructure only
- Fees are non-refundable except where required by applicable law
- We may change fees or introduce new fees with reasonable notice; continued use after such changes constitutes acceptance
Prices are displayed excluding VAT where applicable. For French customers under the VAT franchise regime: TVA non applicable, article 293B du CGI.
Suspension and Termination
We may suspend or terminate access to the Service, in whole or in part, if these Terms are violated, if the Service is used unlawfully, or if usage poses technical, legal, or security risks. You may stop using the Service at any time.
Limitation of Liability
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without any warranty of any kind, whether express, implied, or statutory. We do not guarantee uptime, execution, or performance of any particular strategy.
To the maximum extent permitted by law, we are not liable for trading losses, missed trades, delayed or failed execution, exchange downtime, API errors, or any indirect, incidental, special, punitive, or consequential damages. To the extent any liability is not lawfully excluded, our aggregate liability arising out of or in connection with the Service is limited to the total fees you paid to us for the Service in the three (3) months immediately preceding the event giving rise to the claim.
Indemnification
You agree to indemnify, defend, and hold harmless the Operator from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your trading activity, your breach of these Terms, or your violation of third-party or regulatory obligations.
Data Protection
Personal data is processed in accordance with applicable data protection laws, including the GDPR where applicable. Please refer to our Privacy Policy for details on how we collect, use, and protect personal data.
Changes to the Terms
We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Service.
Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of laws principles. Subject to any mandatory provisions of applicable law, any disputes shall fall under the exclusive jurisdiction of the competent courts of France.
